Terms of Service

These Terms of Service ("Terms") govern access to and use of Encrisoft websites, platforms, applications, APIs, customer portals, developer tools, integrations and related services operated by Encrisoft Technologies Ltd. By accessing or using the services, you agree to these Terms. If you use the services on behalf of an organisation, you confirm that you are authorised to bind that organisation.

2.1 Company Details and Scope

Encrisoft Technologies Ltd, company number 16341267, registered office 124-128 City Road, London, EC1V 2NX, United Kingdom.

These Terms apply to Encrisoft Alerta, LearnSims, Radar, Comply, Peveta and future Encrisoft services, except where a product-specific agreement, order form, Data Processing Agreement, Service Level Agreement or enterprise contract states otherwise. To the extent of conflict, a signed enterprise agreement or order form takes priority over these public Terms.

2.2 Business Users and Eligibility

The services are primarily designed for businesses, professional users, developers, organisations and authorised representatives. Users must comply with applicable laws and must be old enough to enter into a binding agreement in their jurisdiction. Nothing in these Terms limits mandatory rights that cannot lawfully be excluded.

2.3 Accounts and Organisation Administration

Users must provide accurate account information and keep it up to date. Organisations are responsible for managing authorised users, roles, access permissions, integrations, API keys, notification channels and workspace configuration. Organisation administrators are responsible for promptly removing access when a user no longer requires it.

2.4 Acceptable Use

Users must use the services lawfully, responsibly and in accordance with these Terms. Users must not:

  • attempt unauthorised access to Encrisoft systems or third-party systems;
  • disrupt, overload, scan, scrape, probe or attack the services except as permitted under a written vulnerability disclosure process;
  • submit malware, exploit payloads or harmful code except where expressly permitted for a supported security use case and handled safely;
  • use the services to harass, defraud, deceive, monitor unlawfully or infringe third-party rights;
  • reverse engineer, copy, resell or create derivative works from Encrisoft technology except as permitted by law or written agreement;
  • bypass rate limits, authentication, access controls or usage controls;
  • submit personal data, regulated data or sensitive data without lawful basis and appropriate contractual coverage;
  • use the services in breach of export control, sanctions, anti-bribery, anti-money-laundering, privacy, cybersecurity or communications laws.

2.5 Encrisoft and API Terms

Encrisoft Alerta allows customers to configure alerts, routing rules, notifications, integrations and API-driven workflows. Customers are responsible for the accuracy, lawfulness and security of alert payloads, routing decisions, integration credentials, recipient lists, escalation policies and actions taken in response to alerts.

API credentials must be protected as confidential secrets. Customers must not share API keys publicly, embed them in client-side code where not intended, commit them to repositories or use them to exceed agreed usage limits. Encrisoft may suspend or rotate credentials where necessary to protect security, availability or customers.

2.6 Subscriptions, Billing, Renewals and Cancellation

Paid services may be provided on subscription, usage-based, credit-based, enterprise or professional-services terms. Fees, billing cycles, included usage, overage charges and renewal terms are stated in the applicable checkout flow, order form, invoice or written agreement.

Subscriptions renew automatically for the applicable renewal period unless cancelled before the renewal date through available account controls or written notice accepted by Encrisoft. Fees are non-refundable except where required by law, expressly stated in the applicable plan, or agreed in writing by Encrisoft.

Encrisoft may update pricing or plan features with reasonable notice. Changes do not affect fees already paid for the current subscription period unless required by law or agreed in writing.

2.7 Trials, Beta Products and Early Access

Trials, beta features, waitlist access and early access services are provided for evaluation and may be changed, limited, suspended or discontinued. They may be less reliable than generally available paid services and may not include all support, security, availability or retention commitments.

2.8 Service Availability and Support

Encrisoft works to provide reliable and secure services. The services may be unavailable due to maintenance, upgrades, infrastructure issues, security incidents, third-party failures, customer-side misconfiguration, force majeure events or circumstances outside Encrisoft's reasonable control. Any service levels or service credits apply only where expressly agreed in a written SLA or enterprise contract.

2.9 Customer Content and Data

Customers retain ownership of content and data they submit to the services. Customers grant Encrisoft a limited right to host, process, transmit, store, secure, analyse and manage customer content solely to provide, support, secure, improve and operate the services, comply with law and enforce these Terms.

2.10 Intellectual Property and Feedback

Encrisoft and its licensors retain all rights in Encrisoft software, products, APIs, documentation, designs, branding, trademarks, content, workflows, code, infrastructure and related technology. Users receive only the limited right to use the services in accordance with these Terms.

If users provide feedback, ideas or suggestions, Encrisoft may use them without restriction or compensation, provided Encrisoft does not disclose confidential customer information in doing so.

2.11 Confidentiality and Security Responsibilities

Each party must protect confidential information received from the other party and use it only for authorised purposes. Users must protect credentials, devices, workspaces, notification channels, integrations and API keys. Encrisoft may suspend access where necessary to protect security, availability, legal compliance or other customers.

2.12 Privacy and Data Protection

Use of the services is also governed by Encrisoft's Privacy Policy, Cookie Policy and, where applicable, Data Processing Agreement. Customers are responsible for ensuring that their use of the services complies with privacy, cybersecurity, employment, financial, communications and sector-specific laws that apply to their organisation and data.

2.13 Third-Party Services

The services may integrate with third-party platforms such as cloud providers, authentication providers, messaging services, analytics services, payment processors, notification channels and customer-selected tools. Third-party services are controlled by their providers and may be subject to separate terms and privacy policies. Encrisoft is not responsible for third-party services outside its reasonable control.

2.14 Suspension and Termination

Encrisoft may suspend, restrict or terminate access where necessary to protect security, prevent abuse, comply with law, investigate suspected violations, address non-payment, respond to customer-side compromise or maintain platform integrity. Customers may stop using the services subject to applicable subscription, cancellation, data export and payment obligations.

2.15 Disclaimers

Except as expressly stated in a written agreement, the services are provided on an "as is" and "as available" basis. Encrisoft does not guarantee uninterrupted availability, error-free operation, complete prevention of security incidents, or that alerts will always be delivered or acted on in time. Customers must maintain their own operational, security, incident-response and business-continuity processes.

2.16 Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

Subject to the previous sentence, Encrisoft will not be liable for indirect, consequential or special losses; loss of profits, revenue, business opportunity, goodwill or anticipated savings; loss or corruption of data; customer-side misconfiguration; unauthorised access resulting from customer credential compromise; or failures of third-party services outside Encrisoft's reasonable control.

Subject to solicitor review, Encrisoft's total aggregate liability arising out of or relating to the services is limited to the fees paid or payable by the customer to Encrisoft for the affected service in the 12 months immediately preceding the event giving rise to the claim.

2.17 Indemnity

Subject to solicitor review, customers agree to indemnify Encrisoft against claims, losses, damages, liabilities and reasonable costs arising from customer content, unlawful use of the services, breach of these Terms, misuse of APIs or integrations, infringement of third-party rights, or failure to obtain required permissions or lawful bases for customer-controlled data.

2.18 Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising from or connected with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory local law gives a user or customer a right to bring proceedings elsewhere.

2.19 Changes to Services and Terms

Encrisoft may improve, modify, suspend or discontinue features to maintain security, reliability, compliance and product quality. Encrisoft may update these Terms from time to time. Material updates will be published through Encrisoft websites or services and continued use after the effective date constitutes acceptance where permitted by law.
